1.1 These Terms of Sale (the "Sales Terms") govern all purchases of digital products made on golsoft.xyz (the "Site"), operated by GOLSOFT, LLC ("GOLSOFT", "we", "us") from the moment you place an order until the end of the applicable refund, warranty and support periods.
1.2 By placing an order on the Site you accept these Sales Terms, together with our Terms of Use and our Privacy Policy. Where a conflict exists, these Sales Terms prevail for matters relating to purchases.
1.3 You confirm that you are at least 18 years old (or the age of majority in your jurisdiction) and legally capable of entering into a purchase contract.
1.4 These Sales Terms do not affect your statutory consumer rights, where such rights apply to you and cannot be excluded by contract.
2.1 All products offered on the Site ("Products") are digital goods: software files and licence keys delivered electronically. No physical product is shipped at any time.
2.2 Each Product is presented with a title, a reference code, a price and a description. We take care to keep descriptions accurate and up to date; minor errors or omissions do not entitle you to damages, and clause 3.4 applies to manifest pricing errors.
2.3 Purchasing a Product grants you a licence, not ownership. The Product and all intellectual property rights in it remain the exclusive property of GOLSOFT, LLC or its licensors. Your rights are defined in clause 7.
2.4 Products are designed for specific platforms (WordPress, Joomla, Drupal, Magento, HTML email clients or front-end frameworks). It is your responsibility to verify, before purchasing, that your hosting environment and platform version meet the Product's requirements as described on its product page.
2.5 "Bundle" and "Enterprise" Products group several Products or extended rights under a single licence, as described on the relevant product pages.
3.1 All prices are displayed in US dollars (USD) and are exclusive of taxes, unless expressly stated otherwise. Any applicable taxes are added at checkout where required by law (see clause 5).
3.2 To place an order, select a Product on the Site and click "Buy now". An order summary (product, code and price) is displayed; you then enter your email address, choose your payment method, and confirm the payment on the secure Stripe checkout page.
3.3 Your order constitutes an offer to purchase. The contract between you and us is formed when your payment is authorized and confirmed by Stripe. We will confirm your order by email, together with delivery information.
3.4 Despite our best efforts, a Product may occasionally be listed at an incorrect price. In such a case we may, at our discretion and before delivery, cancel the order and refund any amount paid, or contact you to agree the correct price. We are not obliged to supply a Product at a manifestly incorrect price.
3.5 We may change our prices at any time; the price applicable is the one displayed at the moment your order is confirmed.
3.6 You are responsible for the accuracy of the information you provide, in particular your email address, which we use for delivery, invoicing and support. We are not liable for non-delivery caused by incorrect information.
4.1 Payment is made in full at the time of the order, by credit or debit card (Visa, Mastercard, American Express) through Stripe Checkout.
4.2 Stripe processes all payments on its own secure, PCI-DSS compliant infrastructure. We never see, collect or store your full card number or security code. We only receive confirmation of payment and the limited data needed to identify and deliver your order.
4.3 You warrant that you are fully entitled to use the chosen payment method and that sufficient funds are available. If payment is refused by the issuer or by Stripe, the order is cancelled automatically.
4.4 You must raise any payment dispute (wrong amount, duplicate charge, unrecognized payment) with us within 60 days of the charge by contacting [email protected]; most issues are resolved within a few days.
4.5 Chargebacks and payment reversals made with your bank for completed orders, without first contacting us, may be treated as abusive and may result in suspension of your account and licences until the dispute is resolved, as set out in our Terms of Use.
5.1 Prices are exclusive of taxes. Depending on your country of residence and the applicable rules, VAT, GST, sales tax or similar levies may be added at checkout or payable directly by you.
5.2 Where the law requires us to collect a tax at the point of sale, the applicable amount will be shown in the checkout before you confirm your payment.
5.3 You are responsible for any other taxes, duties or levies applicable in your jurisdiction in connection with your purchase or use of a Product.
6.1 After your payment is confirmed, the download link and licence key for your Product are sent to the email address provided at checkout, within a maximum of 24 hours.
6.2 Your purchases are also listed in your account under "My orders", where you can review your order history at any time.
6.3 You are responsible for providing a valid email address and for ensuring that our messages are not blocked by spam filters. If you have not received your delivery within 24 hours, contact us and we will resend it.
6.4 We recommend downloading and safely storing your Product files promptly after delivery. While we keep catalogue products available for re-download via your order history, we may retire older versions after major releases.
6.5 Delivery issues caused by incorrect contact details are not a failure of delivery on our part; we will nevertheless assist you in recovering your order whenever reasonably possible.
7.1 Upon delivery, we grant you a non-exclusive, non-transferable licence to install and use the Product on one (1) production website or project, subject to payment of the applicable price. Multi-site and enterprise licences are available as separate Products.
7.2 The standard licence permits you to: (a) install and use the Product on one production site; (b) modify the Product's code and design for your own use; and (c) keep a reasonable number of private backup copies.
7.3 The licence expressly does not permit you to: (a) sell, resell, rent, lease, sublicense or otherwise transfer the Product or your licence; (b) redistribute the source code or the download link, publicly or privately; (c) include the Product, in whole or in part, in any product or service that you distribute or make available to third parties, including "as-is" or as part of a competing offering; (d) extract components of the Product for standalone redistribution; or (e) use the Product in violation of applicable law.
7.4 A licence is valid for a single customer (person or entity). Agencies purchasing on behalf of a client must transfer project files to the client but may not retain a reusable copy of the licensed Product for other clients unless a multi-site licence has been purchased.
7.5 All rights not expressly granted in this clause are reserved by GOLSOFT, LLC. Any use beyond the scope of the licence is a material breach of these Sales Terms and of copyright law.
8.1 Every purchase includes lifetime updates for the purchased Product: every future version of that Product is included in your licence at no extra cost, delivered through the same channels.
8.2 Every purchase includes six (6) months of premium support from the date of delivery, covering installation guidance, configuration questions, bug reports and usage issues.
8.3 Support is provided through our contact form and by email at [email protected]. We aim to respond within 24 hours, 7 days a week.
8.4 Support does not cover custom development, integration with third-party products not listed as compatible, design customization requests, or issues caused by modifications you or third parties made to the Product.
8.5 We may, at our discretion, offer extended support periods as a paid option or as part of bundle and enterprise licences.
8.6 Announced compatibility targets (platform versions) may evolve with the platform's own release cycle; we do not warrant compatibility with platform versions that have reached their end of life.
9.1 Because our Products are digital goods delivered immediately, all sales are generally final once the download link or licence key has been delivered. However, we grant merited refunds in the situations listed in clause 9.2.
9.2 You are entitled to a refund if, within 7 days of your purchase: (a) the Product is defective and does not function in a material way as described; (b) the Product does not work on your environment as described on its product page, despite our reasonable assistance (which may include asking you for temporary access to diagnose the issue); (c) the Product presents a security vulnerability that we fail to address promptly; or (d) the support described in clause 8 is not provided.
9.3 Refunds are not granted where: (a) you simply changed your mind; (b) you purchased by mistake (including the wrong Product or platform); (c) you lack the expertise to use the Product; (d) the Product does not meet subjective expectations or assumed requirements it does not advertise; (e) the issue results from a conflict with third-party software not listed as compatible; (f) the Product is a bundle or enterprise licence, once delivered; or (g) more than 7 days have passed since the purchase.
9.4 To request a refund, email [email protected] with your order details and a description of the issue. We will first attempt to resolve the problem; if that fails, approved refunds are processed through the same payment method used for the purchase, normally within 5 to 10 business days (card network delays may apply).
9.5 We may grant partial refunds proportionate to the affected part of a Product where only part of it is defective.
9.6 If a refund is granted for a payment made by card, third-party transaction fees of up to 3.5% may be withheld to the extent permitted by law.
9.7 Refund abuse — including repeated purchases followed by refund requests, or continuing to use a refunded Product — may result in account suspension and termination of licences.
9.8 This refund policy is without prejudice to your statutory rights as a consumer, including the right of withdrawal described in clause 10 where it applies to you.
10.1 If you are a consumer located in the European Union or the United Kingdom, you benefit from a statutory right of withdrawal of 14 calendar days from the date of purchase, without having to justify your decision.
10.2 Under Article 16 of the EU Consumer Rights Directive 2011/83 (and the equivalent UK provision), the right of withdrawal does not apply to contracts for the supply of digital content not delivered on a tangible medium where performance has begun with the consumer's prior express consent and the consumer's express acknowledgment that the right is lost.
10.3 By completing your purchase on the Site, you expressly request immediate delivery of the digital content and expressly acknowledge that you will lose your right of withdrawal once the download link or licence key has been delivered or the content has been downloaded.
10.4 Where the right of withdrawal has not been validly waived under clause 10.3 (for example if delivery has not yet occurred), you may exercise it within 14 days by notifying us at [email protected]; we will then refund the full amount paid.
11.1 We warrant that each Product will substantially conform to the description published on its product page at the time of purchase, and that we have the right to grant the licence described in clause 7.
11.2 EXCEPT AS EXPRESSLY SET OUT IN THESE SALES TERMS, AND TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ALL PRODUCTS ARE PROVIDED "AS IS" AND WE DISCLAIM ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT AND UNINTERRUPTED OR ERROR-FREE OPERATION.
11.3 TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, USE OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR PURCHASE OR USE OF A PRODUCT.
11.4 TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO AN ORDER OR THESE SALES TERMS WILL NOT EXCEED THE GREATER OF US$100 AND THE TOTAL AMOUNT PAID BY YOU TO GOLSOFT DURING THE 12 MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
11.5 Nothing in these Sales Terms excludes or limits any liability, or deprives you of any right, that cannot be excluded or limited under the laws applicable to you, including mandatory consumer protection laws of your country of residence. You are responsible for backing up your data and testing Products in a suitable environment before production use.
12.1 These Sales Terms are governed by the laws of the State of Delaware, United States of America, without regard to conflict-of-laws principles. Subject to your mandatory consumer rights, the state and federal courts located in the State of Delaware have exclusive jurisdiction, and both parties consent to their personal jurisdiction.
12.2 These Sales Terms, together with our Terms of Use and Privacy Policy, constitute the entire agreement between you and us for purchases on the Site.
12.3 We may update these Sales Terms from time to time; the version published on the Site, with its "Last updated" date, prevails. Material changes are announced on the Site before they take effect.
12.4 If any provision is held invalid or unenforceable, it will be modified or severed to the minimum extent necessary, and the remainder will continue in full force.
12.5 You may not assign your rights or obligations under an order without our consent; we may assign ours to an affiliate or successor in connection with a merger, acquisition or sale of assets.
12.6 For any question about these Sales Terms or an order, contact us at [email protected], through our contact form, or by post at: GOLSOFT, LLC, 131 Continental Drive, Newark, DE 19713, United States.
